Acceptable Use Policy

This Acceptable Use Policy (this "Policy") sets out rules for using the Spotful venue management tools and the venue features of the Spotful marketplace. It is issued by MMJI CHILLZ, LLC, a Delaware limited liability company, operating as Spotful, together with its successors and permitted assigns ("Spotful," "we," "us," or "our").
This Policy applies to every venue business that uses the Services (a "Venue") and to every owner, employee, contractor, agent, or other person who accesses the Venue Tools on a Venue's behalf (each, a "Team Member," and together with Venues, "you"). This Policy forms part of the Terms of Engagement and supplements the Spotful Terms of Service. Capitalized terms used but not defined in this Policy have the meanings given in the Terms of Engagement. A Venue is responsible for its Team Members' compliance with this Policy.
The examples in this Policy are not exhaustive. Spotful may determine, in its discretion, whether any content or conduct violates this Policy.
1. ACCURATE LISTINGS AND HONEST DEALING
You must not:
- provide or publish false, misleading, outdated, or incomplete information about your venue, Spaces, capacities, Packages, menus, prices, minimum spends, availability, amenities, accessibility, licenses, or policies;
- use photos, videos, or descriptions that do not depict your own venue or that misrepresent its current condition;
- advertise a price or availability that you do not intend to honor, add charges that were not disclosed as Applicable Law requires, or change the terms of a confirmed Booking without the Host's agreement;
- create Listings for a venue that you are not authorized to represent, duplicate Listings, or impersonate another person or business;
- post, solicit, buy, or incentivize fake, misleading, or undisclosed reviews or ratings, or suppress genuine ones, except as Applicable Law and Spotful's policies permit;
- discriminate against Hosts or guests on the basis of any characteristic protected by Applicable Law; or
- hold, advertise, or facilitate any unlawful event or activity.
2. PAYMENTS AND FEES
You must not:
- ask or encourage a Host to pay for a Booking outside the Services, or otherwise structure, split, or redirect transactions to avoid Fees, except as the Terms of Engagement permit;
- charge, or ask Spotful to charge, a Host's payment method for any amount outside the Host's authorization;
- apply surcharges, fees, or payment-method restrictions that violate Applicable Law or Card Network Rules;
- process payments for any business, venue, or transaction other than your own Bookings, or use the Services to transmit money for others;
- submit, accept, or facilitate fraudulent, unauthorized, or sham Bookings or payments, including Bookings you make for yourself to generate payouts; or
- provide false or incomplete information to Spotful or its payment processors, including identity, ownership, tax, and bank account information.
3. USE OF PERSONAL INFORMATION
You must:
- use Host Data and other personal information that you obtain through the Services only as permitted by the Terms of Engagement, the Data Processing Addendum, Applicable Law, and your own privacy notice;
- protect personal information that you obtain through the Services with appropriate security measures, and limit access to Team Members who need it;
- honor opt-out, deletion, and other requests that individuals make to you, and any opt-out signals or suppression instructions that Spotful passes to you; and
- have all notices, consents, and rights required by Applicable Law for any personal information that you enter, upload, import, or sync into the Services.
You must not:
- sell, rent, license, or disclose lists of Hosts or other personal information obtained through the Services to third parties for their own marketing purposes, except as Applicable Law permits and your privacy notice discloses;
- upload or import personal information that you obtained unlawfully, purchased or rented lists, or lists of people who have not agreed to hear from you where consent is required;
- upload sensitive personal information, payment card numbers, government identification numbers, health information, or personal information of children under thirteen (13), except where a feature of the Services is expressly designed for it and Applicable Law permits it;
- use the Services to track, profile, or surveil individuals in a way that Applicable Law prohibits or that individuals would not reasonably expect; or
- add analytics, advertising, or other tags to your Listing pages that collect information in a way that violates Applicable Law or the tag provider's terms.
4. MESSAGING
You are the sender of the messages that you send through the Services, and you are solely responsible for them. When you send emails, text messages, or other communications through the Services, you must:
- obtain, before sending, every consent that Applicable Law requires, including prior express written consent where the Telephone Consumer Protection Act requires it, and keep records of each consent;
- send messages only to people who have agreed to receive them from you where consent is required, and only about the subjects to which they agreed;
- clearly identify your business as the sender, and include any opt-out instructions, physical postal address, and other content that Applicable Law requires;
- honor opt-out requests promptly, including requests made by replying with a standard opt-out keyword such as STOP, and not send further messages to a person who has opted out, other than a confirmation that Applicable Law permits;
- comply with time-of-day, frequency, and do-not-call restrictions under federal and state law;
- comply with the guidelines of the CTIA, wireless carriers, and messaging providers, including their rules for age-restricted content such as alcohol, and complete any brand, campaign, or sender registration they require; and
- comply with the CAN-SPAM Act and other email laws, including by using accurate header information and non-deceptive subject lines.
You must not use the Services to send:
- messages to purchased, rented, scraped, or shared lists, or to randomly or sequentially generated numbers or addresses;
- spam, phishing, or deceptive messages, or messages that hide or misrepresent the sender or the link destination;
- content that is unlawful, harassing, hateful, sexually explicit, or that promotes illegal drugs, weapons, gambling, or other content that carriers or messaging providers prohibit;
- messages promoting alcohol to anyone under the legal drinking age, or without any age-gating that carriers or Applicable Law require; or
- messages that use a phone number, sender name, email address, or domain that Spotful provides in a way that suggests that Spotful is the sender of your messages.
Spotful may apply automated and manual checks to messages, may delay, block, or decline to send any message, may suppress messages to recipients who have opted out through the Services, and may suspend messaging features, as described in the Terms of Engagement. These controls do not make Spotful the sender of your messages or relieve you of your responsibility for them.
5. CONTENT
You must not upload, publish, or send through the Services any content that:
- infringes, misappropriates, or violates any intellectual property, privacy, publicity, or other right of any person, including photos of people who have not given any consent that Applicable Law requires;
- is false, misleading, defamatory, obscene, pornographic, hateful, harassing, threatening, or violent;
- promotes or facilitates illegal activity, including the unlawful sale or service of alcohol, controlled substances, or weapons;
- contains malware, viruses, or other harmful code; or
- includes contact details, links, or calls to action designed to move Hosts' Bookings or payments outside the Services in violation of the Terms of Engagement.
6. SECURITY AND TECHNICAL INTEGRITY
You must not:
- share sign-in codes, sign-in links, or account access with anyone who is not an authorized Team Member, or allow Team Members to share access with one another;
- access or attempt to access any account, Listing, Booking, data, or system that you are not authorized to access, including another venue's data;
- probe, scan, or test the vulnerability of the Services, or breach or circumvent any security, authentication, rate limit, or access control, except as Spotful authorizes in writing;
- use bots, scrapers, crawlers, scripts, or other automated means to access, copy, extract, or collect data from the Services, including Listings, Host information, and pricing, except through interfaces that Spotful provides for that purpose;
- interfere with, overload, or disrupt the Services, their infrastructure, or other users' use of them;
- reverse engineer, decompile, or attempt to extract the source code of the Services, except as Applicable Law expressly permits despite this restriction;
- use the Services, or data obtained from them, to build or improve a competing product or service; or
- resell, sublicense, frame, or provide access to the Services to any third party.
7. THIRD-PARTY SERVICES
You must comply with the terms of each Third-Party Service that you use through or connect to the Services. In particular, if you use Google Maps features in the Venue Tools, you must comply with the Google Maps/Google Earth Additional Terms of Service and must not scrape, copy, cache, or export Google Maps content, or use it outside the Services or with a non-Google map. You must not use Third-Party Services connected to the Services in a way that causes Spotful to breach its agreements with their providers.
8. FEATURES THAT USE ARTIFICIAL INTELLIGENCE
You must not use features of the Services that use artificial intelligence to generate content that violates this Policy, to impersonate any person, or to make decisions about Hosts or guests that Applicable Law prohibits. You must review output from these features before you use or publish it.
9. LEGAL COMPLIANCE
You must comply with all Applicable Law in your use of the Services and in operating your venue, including laws on consumer protection, pricing, advertising, privacy, data protection, telemarketing, alcohol, health and safety, accessibility, anti-discrimination, employment, tax, sanctions, export controls, anti-bribery, and anti-money-laundering. You must not use the Services if you, or any person who owns or controls your business, are subject to sanctions administered by the United States or other applicable authorities, or from a country or region subject to comprehensive sanctions.
10. REPORTING VIOLATIONS
If you become aware of a violation of this Policy, a security vulnerability, or the misuse of personal information obtained through the Services, notify us promptly at support@spotful.io. If you believe that content on the Services infringes your copyright or other rights, follow the procedure in Section 12.4 of the Spotful Terms of Service. For other rights, contact us at the same address with enough detail for us to identify the content and your rights.
11. ENFORCEMENT
If Spotful believes that you have violated this Policy, or that your content or conduct creates a risk of harm or liability to Spotful, Hosts, guests, or others, Spotful may, with or without notice and in addition to its other rights under the Terms of Engagement:
- remove, edit, hide, or disable access to any content or Listing;
- block, delay, or decline to send any message, or suspend messaging features;
- decline, cancel, or refund Requests or Bookings;
- hold payouts, require a reserve, or recover amounts as described in the Terms of Engagement;
- suspend or limit access for a Venue or any Team Member, or terminate the Terms of Engagement;
- report the matter to, and cooperate with, law enforcement, regulators, payment processors, carriers, and affected persons; and
- take legal action.
Spotful has no obligation to monitor content or conduct on the Services, and its decision not to enforce this Policy in any instance is not a waiver of its right to do so. To the extent permitted by Applicable Law, Spotful is not liable to you for any removal, editing, hiding, blocking or delay of a message, suspension, limitation, cancellation, refund, payout hold, reserve, recovery of amounts, termination, or other action that it takes, or decides not to take, under this Policy, but this does not limit Spotful's obligation to remit amounts due to you under Section 7 of the Terms of Engagement.
12. CHANGES TO THIS POLICY
Spotful may modify this Policy from time to time as described in the Terms of Engagement. The modified Policy takes effect on the date stated when it is posted on the Services, and your continued use of the Venue Tools after that date constitutes acceptance of it.
